Afore Coppel agrees to acquire Advent International's stake in InverCap. The transaction, valued at 4.62 billion pesos, will allow the Grupo Coppel administrator to surpass the historic mark of one trillion pesos in assets under management.

Afore Coppel, belonging to Grupo Coppel, agreed to purchase the participation of the U.S. private equity fund Advent International in the Mexican Afore InverCap, in a transaction that marks a strategic turning point for the financial sector in the country.

The details of the financial agreement

The operation, which will be paid for entirely in cash, is valued at 4,620 million pesos (equivalent to about 264 million dollars). Although the parties involved declined to make official comments and the transaction is not yet formal, it represents the first consolidation or merger movement within the Retirement Savings System (SAR) in Mexico since the union of Metlife and Principal in 2018.

The acquisition of InverCap —which is part of the LAPEF V portfolio of Advent International— will inject critical volume into Coppel's operation. As of the end of July 2026, InverCap managed assets of 348,939 million pesos distributed across 1.9 million accounts, ranking ninth among the ten active Afores in the Mexican market. With this integration, Afore Coppel will raise its managed resources from the current 658,000 million pesos to surpassing one trillion pesos in custodial funds.

Portfolio synergy and the regulatory limit

The move responds to a constant search for expansion by the group led by businessman Agustín Coppel Luken. Historically, Afore Coppel has been the second entity with the highest number of individual accounts managed in the country (12.1 million customers), but it ranked fifth in real resources because its user base is concentrated in a young profile with average lower balances. The absorption of InverCap complements this structural weakness.

However, the operation must pass through the filter of the relevant authorities. According to the Retirement Savings System Law (LSAR), no Afore can hold more than 20% market share in order to avoid concentrations and promote competition, unless the National Commission for the Retirement Savings System (Consar) issues a special authorization demonstrating that workers' savings are not affected.

From the perspective of next+, Afore Coppel's acquisition of InverCap is a master move of scale and efficiency. By absorbing an administrator that, despite the technological modernization implemented by Advent, had lost one million accounts since 2012, Coppel not only buys assets but also resolves its historical challenge of low average balances by integrating more mature accounts. For the Mexican financial ecosystem, this consolidation evidences that the Afore business has ceased to be a game of atomized capture to become a competition of pure scale and digitalization, where only participants able to cross the one trillion pesos in custody will have the necessary margins to sustain profitability in the long term.
